1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of the Synaps (Pty) Ltd ("Synaps," "we," "us," or "our") website, and the provision of our digital marketing services, including but not limited to web development, SEO, copywriting, content creation, social media management, media buying, email marketing, and branding.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Our Services

Synaps provides digital marketing services to established businesses, which may include one or more of the following:

• Web development, hosting, and maintenance

• Search engine optimisation (SEO)

• Copywriting

• Content creation (image and video)

• Social media management

• Media buying and paid advertising

• Email marketing

• Branding

The specific scope, deliverables, timelines, and fees for each engagement will be set out in a separate proposal, quote, or service agreement ("Service Agreement") agreed between Synaps and the client prior to commencement of work. Where these Terms and a Service Agreement conflict, the Service Agreement takes precedence.

3. Client Responsibilities

To enable us to deliver services effectively, clients agree to:

• Provide accurate, complete, and timely information, assets, and access required for service delivery (e.g. website, social media, or advertising account access)

• Respond to requests for feedback, approvals, or input within a reasonable timeframe

• Ensure they have the necessary rights and permissions for any content, trademarks, or materials provided to Synaps for use in campaigns

• Comply with the terms of use of any third-party platforms involved (e.g. Google, Meta, Mailerlite)

Delays caused by a client's failure to meet these responsibilities may affect project timelines and are not the responsibility of Synaps.

4. Fees and Payment

• Fees for services are outlined in the applicable proposal, quote, or Service Agreement and may vary by service and client.

• Payment terms (including deposits, milestone payments, retainers, or full upfront payment) will be specified per engagement.

• Invoices are payable within the timeframe stated on the invoice. Late payment may result in suspension of services until outstanding amounts are settled.

• All fees are exclusive of VAT unless stated otherwise, and VAT will be added where applicable.

• Third-party costs (such as advertising spend, domain registration, software subscriptions, or stock assets) are billed separately or passed through to the client, as agreed in advance.

5. Advertising Spend

Where Synaps manages paid advertising on a client's behalf, any advertising budget is separate from our service fees and is paid directly to the relevant advertising platform (e.g. Google, Meta) or reimbursed to Synaps, as agreed in the Service Agreement. Synaps does not guarantee specific advertising outcomes, as performance is influenced by factors including platform algorithms, market conditions, and budget.

6. Intellectual Property

• Upon full payment for services rendered, ownership of final deliverables created specifically for the client (e.g. website, branding assets, written content) transfers to the client, unless otherwise agreed in writing.

• Synaps retains the right to showcase completed work in its portfolio, case studies, and marketing materials, unless the client requests otherwise in writing.

• Any pre-existing tools, templates, frameworks, or proprietary systems used by Synaps to deliver services remain the property of Synaps.

• Clients warrant that any materials they provide to Synaps do not infringe on the intellectual property rights of any third party.

7. Confidentiality

Both parties agree to keep confidential any non-public business, financial, or strategic information shared during the course of the engagement, and to use such information solely for the purpose of delivering or receiving the contracted services.

8. Results and Performance

Synaps applies industry best practices and data-driven strategies across all services. However, we do not guarantee specific results (such as search rankings, follower growth, conversion rates, or revenue outcomes), as these depend on factors outside our control, including market conditions, competition, platform changes, and client cooperation.

9. Limitation of Liability

To the maximum extent permitted by law, Synaps shall not be liable for any indirect, incidental, or consequential loss or damage arising from the use of our services or website, including loss of profits, revenue, data, or business opportunities. Our total liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim.

10. Termination

• Either party may terminate a Service Agreement in accordance with the notice period specified in that agreement.

• Upon termination, the client remains liable for payment of all fees for work completed up to the termination date.

• Synaps reserves the right to suspend or terminate services immediately in cases of non-payment or breach of these Terms.

11. Website Use

• Content on the Synaps website is provided for general informational purposes and may be updated without notice.

• You may not use our website for any unlawful purpose or in a way that could damage, disable, or impair its functionality.

• All content, branding, and materials on this website are the property of Synaps (Pty) Ltd unless otherwise stated, and may not be reproduced without permission.

12. Third-Party Platforms

Our services may involve the use of third-party platforms (such as Mailerlite, Google, Meta, and payment gateways). Synaps is not responsible for the availability, performance, or policies of these third-party platforms.

13. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms or our services shall be subject to the jurisdiction of the South African courts.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services or legal requirements. The updated version will be posted on our website with a revised "Last updated" date. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
